These Terms of Service ("Terms") are a binding agreement between you and your organization ("Customer," "you") and The Iron Architect LLC ("IronArchitects," "we," "us") governing access to and use of the IronArchitects platform, websites, APIs, SDKs, and related services (the "Services"). By creating an account, accessing, or using the Services, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind it.
You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account and for your users' compliance with these Terms. The Services are intended for business use by users aged 16 or older.
You agree not to: (a) use the Services unlawfully or to infringe others' rights; (b) reverse engineer, resell, or circumvent the Services' limits or security; (c) upload malware or attempt to gain unauthorized access; (d) interfere with the integrity or performance of the Services; or (e) use the Services to build a competing product. You are responsible for ensuring you have the rights to any data you submit.
You retain all rights in the data, documents, and designs you submit ("Customer Content"). You grant us a limited license to host, process, and display Customer Content solely to provide and support the Services. Our handling of personal data within Customer Content is described in our Privacy Policy and any Data Processing Addendum. You are responsible for the legality of Customer Content and for maintaining your own backups where required.
The Services, including all software, models, templates, and content we provide (excluding Customer Content), are owned by IronArchitects and its licensors and are protected by intellectual-property laws. We grant you a non-exclusive, non-transferable right to use the Services during your subscription, subject to these Terms. Feedback you provide may be used by us without obligation.
The Services use AI to generate architecture designs, compliance assessments, and related artifacts ("Output"). Output is provided to assist professional judgment and may contain errors or omissions; it is not legal, regulatory, or compliance advice, and you remain responsible for reviewing and validating Output before relying on it. We do not use Customer Content to train AI models. Subject to these Terms, Output generated for you is yours to use.
The Services may interoperate with third-party products (for example, identity providers, diagramming tools, and project systems). Your use of those products is governed by their terms, and we are not responsible for them.
Each party may access the other's confidential information. The receiving party will use it only to perform under these Terms and will protect it with reasonable care. This does not apply to information that is public, independently developed, or rightfully obtained without restriction.
EXCEPT AS EXPRESSLY STATED, THE SERVICES AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUT WILL ACHIEVE OR MAINTAIN ANY PARTICULAR COMPLIANCE OUTCOME.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA. EXCEPT FOR YOUR PAYMENT OBLIGATIONS AND EITHER PARTY'S INDEMNIFICATION OBLIGATIONS, EACH PARTY'S TOTAL LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICES IN THE [12 months] PRECEDING THE CLAIM.
You will defend and indemnify IronArchitects against third-party claims arising from your Customer Content or your use of the Services in violation of these Terms. We will defend and indemnify you against third-party claims that the Services, as provided by us, infringe their intellectual-property rights, subject to customary exclusions.
These Terms apply while you use the Services. Either party may terminate for material breach not cured within [30 days] of notice. We may suspend access for non-payment, security risk, or violation of these Terms. On termination, your right to use the Services ends and we will make Customer Content available for export for a limited period before deletion, per your agreement. Sections intended to survive (including IP, confidentiality, disclaimers, liability, and indemnity) will survive.
These Terms are governed by the laws of the State of [State], United States, without regard to conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the courts located in [County/State] for disputes not subject to arbitration. [Add arbitration / dispute-resolution clause if desired]
We may update these Terms from time to time. Material changes will be posted with a new "Last updated" date and, where appropriate, additional notice. Continued use after changes take effect constitutes acceptance.
